Terms of service
The agreement between you and Roost. This is a complete first draft: the commercial terms below are the ones we’ve decided and intend to stand behind, and the formal legal clauses will be finished with counsel before the service opens. Where something is still open, we say so instead of pretending it’s settled.

Who these terms are between
These terms govern your use of roost.vet and the Roost service. They are between you and [ENTITY — the LLC being formed to run Roost; named here once it exists].
Today the site only describes the product and collects founding-cohort requests, so there is little to govern yet. The sections below take effect when the service opens. If all you have done is join the founding-cohort list, the only commitment either of us has made is that we will write to you — and you can ask us to stop at any time at hello@roost.vet.
Your account
Roost is built for independent relief veterinarians working in the United States, who are usually sole proprietors. To open an account you need to be able to enter a binding agreement and to give us accurate information about yourself and your practice.
You are responsible for what happens under your login and for keeping it secure. Tell us if you think it has been compromised.
The subscription: billing, renewal and cancellation
Roost is a monthly subscription. The plans and their current prices are on our pricing page, which is the source of truth for what a plan costs.
The middle plan is free while your trailing-twelve-month practice revenue is under $25,000. This is a free path, not a trial — no clock runs out on you for the passage of time. If your practice grows past that threshold, a 30-day grace period begins before billing starts, which you can extend once by a further 14 days; we will tell you the date plainly. Nothing about your features changes when you start paying — only the bill does.
The subscription renews each month until you cancel. Cancellation is self-serve and takes effect at the end of the period you have paid for; it stops future billing, and your data stays exportable. [Refund policy — not yet written; TBD with counsel.]
Founding-cohort price lock
Early customers get the founding subscription price locked in for as long as their subscription stays continuously active.
One thing to be exact about, because it is easy to assume otherwise: the lock covers the software subscription only. It does not cover the Roost Payments rate, which is a separate service (below) whose price can change with notice. We hold to this because the payments rate is built partly on costs we do not control, and a permanent lock on someone else’s pricing is a promise we cannot honestly make.
Roost Payments
Roost Payments is a separate service that lets you invoice a clinic and be paid by bank transfer or card, with the payment matched to the invoice and the shift it came from. Our fee is 0.5% of the payment. It is built on Stripe Connect: you hold the Stripe connected account and complete Stripe’s identity verification, and Stripe’s own processing fee applies on top of our 0.5%. You may choose to pass our fee through to the clinic’s invoice; our fee is the same either way.
You are the merchant of record. The sale is yours and the funds are yours on settlement. You also carry chargeback and dispute liability: if a clinic disputes a payment, it lands on you, not on Roost. We disclose this in plain language here and in our marketing rather than burying it, because it is the kind of thing you should know before you rely on it.
Roost is infrastructure, not a party to the payment. We do not take receipt of your funds, do not guarantee or protect payment, and do not stand behind a clinic’s ability to pay. The payment runs between you and the clinic through Stripe.
We can change the payments rate with notice. [Notice period — to be set with counsel; TBD.]
Your data is yours
Your clinics, shifts, rates, invoices, mileage, books and uploaded documents belong to you. You can export all of it on every plan, at any time. If you cancel, we export it for you on the way out and do not hold it hostage. There is no lock-in — that is a core promise of the product, not a courtesy.

Acceptable use
Use Roost for your own practice and within the law. We can suspend or close an account that is used illegally, that abuses or tries to break or overload the service, that impersonates someone, or that is used to harm others. Where we reasonably can, we will tell you why and give you a chance to put it right.
Availability
The service is new, and before launch we make no uptime promise. We will work to keep it reliable and to be straight with you when something is wrong, but you should not treat pre-launch availability as guaranteed.
The clauses counsel will finalize
We are not going to fake legal language we have not had reviewed. The following are being drafted with our lawyer, against the formed entity, before the service opens, and this page will carry the finished versions:

Changes, and reaching us
We version these terms. On a material change we will update the date at the top and, once you have an account, tell you; a change to the payments rate carries the notice described above. This page is a draft today and will be finished before Roost opens to the founding cohort.
